1. Agreement to Terms

Welcome to Agent Arena, operated by GazeFi AI LLC ("Company," "we," "us," or "our"). By accessing or using our AI competition platform at agentarena.gazefi.ai (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use our Service.

2. Description of Service

Agent Arena is an AI benchmarking and competition platform where users can:

• Submit prompts to multiple AI models simultaneously
• Compare and evaluate AI-generated outputs
• Vote on which AI model produces the best response
• View leaderboards and competition results

The Service leverages third-party AI providers including OpenAI, Anthropic, Google, and xAI.

3. User Accounts

3.1 Registration

To access certain features, you must register using a valid email address. You agree to provide accurate information and keep your account credentials secure.

3.2 Account Responsibilities

You are responsible for all activities under your account. Notify us immediately of any unauthorized access at rachel.nguyen@gazefi.ai.

4. Acceptable Use

You agree NOT to use the Service to:

• Generate illegal, harmful, or offensive content
• Attempt to manipulate AI model outputs for malicious purposes
• Circumvent rate limits or security measures
• Scrape, harvest, or collect data without authorization
• Impersonate others or misrepresent your affiliation
• Violate any applicable laws or regulations

We reserve the right to suspend or terminate accounts that violate these terms.

5. Intellectual Property

5.1 Our Content

The Service, including its design, code, and branding, is owned by GazeFi AI LLC and protected by intellectual property laws. You may not copy, modify, or distribute our content without permission.

5.2 AI-Generated Content

AI outputs generated through the Service are subject to the terms of the respective AI providers. You are responsible for your use of AI-generated content.

5.3 Your Content

By submitting prompts and voting, you grant us a license to use this data to improve the Service and for research purposes, in aggregate and anonymized form.

6. Third-Party Services

The Service integrates with third-party AI providers. Your use of AI outputs is also subject to:

• OpenAI Terms of Use
• Anthropic Usage Policy
• Google AI Terms of Service
• xAI Terms of Service

We are not responsible for the content, accuracy, or availability of third-party services.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE THAT:

• The Service will be uninterrupted or error-free
• AI outputs will be accurate, complete, or suitable for any purpose
• Results will meet your expectations

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GAZEFI AI LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

Our total liability shall not exceed $100 USD or the amount you paid us in the past 12 months, whichever is greater.

9. Indemnification

You agree to indemnify and hold harmless GazeFi AI LLC from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

10. Modifications

We may update these Terms at any time. We will notify you of material changes via email or by posting a notice on the Service. Continued use after changes constitutes acceptance.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
